Overview
This page constitutes the complete legal agreement between you (the Client) and SAGE. Tech ("we", "us", "our"), a digital agency incorporated in India and operating internationally, with primary focus on the United Kingdom and European Union.
By engaging our services, visiting SAGE.com, or communicating with us via any channel (email, WhatsApp, contact forms), you agree to the terms set out on this page. If you do not agree, please discontinue use of our services.
These terms cover: our services and how we deliver them, payment and refund conditions, intellectual property, your privacy and data rights (including GDPR and UK GDPR compliance), cookies, disclaimers, and limitations of liability.
Services & Engagement
SAGE. Tech provides digital services including, but not limited to: website design and development, AI chatbot development, WhatsApp and business automation, local SEO and digital marketing, and business growth consultancy.
Project scope
- All projects begin with a written brief or proposal agreed upon by both parties via email or a signed document. Verbal agreements do not constitute a binding scope.
- Any work outside the agreed scope will be quoted separately and requires written approval before commencement.
- We reserve the right to decline any project or client without providing a reason.
Timelines
- Estimated timelines are provided in good faith and are not legally binding unless explicitly stated as fixed deadlines in a signed agreement.
- Delays caused by the Client (e.g. late content, feedback, or approvals) will extend timelines proportionally without penalty to SAGE. Tech.
Client responsibilities
- The Client is responsible for providing accurate information, timely feedback, and all necessary assets (logos, copy, images, credentials) required to complete the project.
- The Client warrants that any assets provided to us do not infringe third-party intellectual property rights.
Payments & Refunds
All prices are quoted in GBP (£) or USD ($) unless otherwise stated. SAGE. Tech is incorporated in India; international transfers may incur bank or conversion fees which are the Client's responsibility.
Payment structure
- A non-refundable deposit of 50% is required before any project work commences.
- The remaining balance is due upon project completion or as per the payment schedule agreed in writing.
- Retainer and ongoing service agreements are billed monthly in advance.
- Invoices are due within 7 days of issue unless otherwise agreed.
Late payments
- Overdue invoices may incur a late payment charge of 2% per month on the outstanding balance.
- We reserve the right to pause or suspend all work until outstanding invoices are settled.
- We reserve the right to take down or withhold deliverables (including websites) until full payment is received.
Refund policy
- The initial deposit is strictly non-refundable in all circumstances.
- If we are unable to deliver the agreed scope due to circumstances on our end, a fair partial refund will be considered on a case-by-case basis.
- No refunds are issued for completed and delivered work, or for delays caused by the Client.
- Subscription or retainer services cancelled mid-month are not pro-rated unless agreed in writing.
Intellectual Property
Ownership upon full payment
Upon receipt of full payment, the Client receives full ownership of all custom deliverables created specifically for their project — including website designs, copy, and code written from scratch.
Retained by SAGE. Tech
- We retain ownership of any underlying frameworks, boilerplates, tools, processes, or proprietary methodologies used in delivering your project.
- We retain the right to showcase completed work in our portfolio, case studies, and marketing materials unless the Client requests confidentiality in writing prior to project commencement.
- Third-party assets (stock images, licensed fonts, plugins, APIs) remain subject to their respective licences and are the Client's responsibility to maintain after handover.
Pre-payment
All work product remains the intellectual property of SAGE. Tech until final payment is received in full.
Privacy & Data
SAGE. Tech is committed to protecting your personal data. This section explains what we collect, why, how we use it, and your rights.
What we collect
- Contact data: Name, email address, phone number, business name — collected when you fill in a contact form, book a call, or message us.
- Project data: Files, documents, credentials, and communications shared with us in the course of delivering your project.
- Usage data: IP address, browser type, pages visited, and time on site — collected automatically via analytics tools.
- Communication data: Emails, WhatsApp messages, and call notes related to your enquiry or engagement.
Why we collect it
- To respond to enquiries and deliver agreed services.
- To send relevant updates, proposals, and invoices.
- To improve our website and service quality.
- To comply with legal and accounting obligations.
How we store it
- Data is stored securely using reputable third-party platforms (including but not limited to: Google Workspace, Supabase, Notion, and email service providers).
- We do not sell, rent, or trade your personal data to any third party.
- We retain client data for up to 3 years after project completion for accounting and legal purposes, after which it is securely deleted.
Your rights
You have the right to: access the data we hold about you, request correction or deletion, withdraw consent at any time, and lodge a complaint with the relevant supervisory authority. To exercise any of these rights, contact us at hello@SAGE.com.
GDPR & UK GDPR
Although SAGE. Tech is incorporated in India, we serve clients in the United Kingdom and European Union and therefore take GDPR (EU) 2016/679 and UK GDPR obligations seriously.
Legal basis for processing
- Contractual necessity: Processing required to deliver the services you've engaged us for.
- Legitimate interest: Communicating with prospective clients, improving our services, and portfolio use.
- Consent: Newsletter subscriptions and marketing communications. You may withdraw consent at any time.
- Legal obligation: Retaining financial records as required by law.
Data transfers
As an India-based company processing EU/UK personal data, we implement appropriate safeguards including Standard Contractual Clauses (SCCs) where applicable and use only sub-processors that maintain adequate data protection standards.

Limitation of Liability
To the fullest extent permitted by applicable law, SAGE. Tech shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, revenue, data, goodwill, or business interruption — arising out of or in connection with our services or these terms.
Our total aggregate liability to any Client shall not exceed the total fees paid by that Client to SAGE. Tech in the three months preceding the event giving rise to the claim.
We are not liable for: delays caused by third-party platforms or service outages (hosting providers, Google, Meta, etc.), losses arising from the Client's failure to provide accurate information, or outcomes resulting from the Client's own business decisions.
Nothing in these terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
Governing Law
These terms are governed by and construed in accordance with the laws of India. However, given our primary client base in the UK and EU, we also endeavour to comply with applicable UK and EU consumer protection regulations.
Any disputes arising from these terms or our services shall first be attempted to be resolved amicably through direct communication. If unresolved within 30 days, disputes shall be subject to the jurisdiction of the courts of India, unless mandatory local consumer law provisions in the Client's jurisdiction apply.
We reserve the right to update these terms at any time. The most current version will always be available at SAGE.com/legal. Continued use of our services following any update constitutes acceptance of the revised terms.
